Genoa, 21 June 2024 – ERG S.p.A. hereby informs that the essential information and the relevant extract relating to (i) the update of the shareholders’ provisions envisaged in the shareholders’ agreement entered into on September 15, 2022, in the context of the closing of the transaction aimed at the creation of a long-term partnership between San Quirico S.p.A. and the investment fund IFM Net Zero Infrastructure Fund SCSp (the “Shareholders’ Agreement”), and (ii) the termination of the shareholders’ provisions envisaged in the sale and purchase agreement entered into in the context of the put option, exercised by San Quirico S.p.A. towards NZF TopCo Luxembourg 2 S.à.r.l., which, in turn, subsequently designated NZF Bidco Luxembourg 2 S.à r.l. to perform the purchase, pursuant to the provisions of the Shareholders’ Agreement, have been made available to the public on the Company’s website (www.erg.eu) and on the authorized storage mechanism “eMarket STORAGE” (www.emarketstorage.com).

The extract will be published as well on the newspaper La Repubblica on 22 June 2024.
